Issuers Department

The Issuers department is responsible for supervising the compliance of the companies whose home member state is the Republic of Cyprus and have securities admitted to trading on a regulated market (“issuers”) with their ongoing obligations, as set out in the applicable legislation. The Department is also responsible for examining applications submitted by issuers or other liable persons pursuant to the relevant legislation that concerns them.


Specifically, the duties of the Issuers Department mainly include:

  • Monitoring of the compliance of issuers with their continuous obligations under the Transparency Requirements (Transferable Securities Admitted to trading on a Regulated Market) Law of 2007, as amended and, more specifically, as regards to their obligations for providing periodic information.
  • Monitoring and examination of the notifications submitted to CySEC regarding major holdings of shareholders or other liable persons, in issuers, for the purposes of compliance with the above law.
  • The examination of applications for the approval of prospectuses for the public offer of securities or their admission to trading on a regulated market, pursuant to Regulation (EU) 2017/1129 on the prospectus to be published when securities are offered to the public or admitted to trading on a regulated market.
  • Monitoring of the implementation of Regulation (EU) 2017/1129 on the prospectus and of the Public Offer and Prospectus Law of 2005, as amended, to the extent applicable.
  • The examination of Takeover Bid documents for the takeover of companies whose securities are listed on a regulated market as well as other applications pursuant to the Takeover Bids Law of 2007, as amended.
  • Monitoring the implementation of the Takeover Bids Law of 2007, as amended.
  • Monitoring the implementation of the Auditors Law of 2017 in relation to the Issuers' Audit Committee.
  • Monitoring of the compliance of issuers with the obligations provided under Τhe Encouragement of Long-term Shareholder Engagement Law of 2021.
  • The participation in Standing Committees as well as Working Groups of ESMA for matters related to the Department’s responsibilities.
  • The examination of proposed legislation relating to the Department’s responsibilities and the submission of relevant suggestions.
